1. About UM Group

U M Software & Services, operating under the brand name UM Group, provides accounting software solutions, business management software, implementation, training, technical support, AMC, cloud-related services and other IT solutions to businesses and organisations.

UM Group is an authorised channel partner/service provider for the software products and solutions that it represents. Product ownership, trademarks, copyrights and intellectual property rights relating to third-party software remain with their respective owners.

2. Website Usage

4. Product Information and Pricing

The final price applicable to a purchase or service will be communicated through the applicable quotation, invoice, order confirmation or other written communication. Applicable GST and other statutory taxes, where required, may be charged in addition to the displayed price.

Any implementation, installation, training, customisation, support, AMC, cloud, integration or other service charges will be communicated separately where applicable.

5. Orders and Purchase Confirmation

An enquiry, quotation request or online payment does not automatically constitute acceptance of an order unless the order has been confirmed by UM Group.

6. Payment Terms

Payments for products and services must be made using the payment methods made available by UM Group or through authorised payment channels.

Customers are responsible for providing accurate billing and payment information. Where applicable, GST and other statutory charges will be included in the final invoice.

For services such as implementation, training, customisation, AMC, cloud services or other professional services, payment terms may be specified in the quotation, invoice or service agreement issued to the customer.

7. Software Licence and Third-Party Products

Software products supplied through UM Group may be subject to separate licence agreements, subscription terms, usage restrictions and end-user licence terms specified by the respective software owner or publisher.

UM Group does not transfer ownership of third-party software to customers unless expressly stated in writing. The customer's right to use such software is governed by the applicable licence or subscription terms.

Trademarks, logos, software names, copyrights and other intellectual property belonging to third-party software providers remain the property of their respective owners.

8. Implementation, Installation and Training

Where implementation, installation, configuration or training services are purchased, the scope of work will depend on the requirements agreed between UM Group and the customer.

Customers are responsible for providing accurate business information, required documents, system access, data and other information necessary for completing the agreed services.

Any additional work outside the agreed scope may be subject to additional charges and will be communicated to the customer before such work is undertaken, where reasonably practicable.

9. Technical Support and AMC

Technical support and Annual Maintenance Contract (AMC) services are provided according to the scope, duration and terms applicable to the selected plan or service agreement.

Support does not necessarily include custom software development, major data migration, third-party system issues, hardware repair, internet connectivity, government portal downtime or services outside the agreed scope unless specifically mentioned in writing.

10. Delivery, Activation and Service Timelines

Delivery, software activation, installation, implementation and service timelines may vary depending on the product, licence type, payment confirmation, customer requirements and availability of required information or third-party services.

Any estimated timeline communicated by UM Group is an approximate timeframe unless a specific delivery or completion date has been expressly agreed in writing.

11. Cancellation and Refunds

Cancellation and refund requests are subject to our applicable Return and Refund Policy, the nature of the product or service purchased and, where applicable, the terms of the relevant software provider.

Software licences, subscriptions, activation charges, implementation services, training services, AMC and other professional services may have different cancellation or refund conditions. Customers should review the applicable cancellation and refund terms before completing a purchase.

Where a refund is approved, it will be processed according to the applicable refund policy and payment method, subject to any deductions or charges expressly permitted under the applicable terms.

12. Customer Responsibilities

Customers are responsible for providing correct information and maintaining the confidentiality of their account credentials, licences, passwords and other access information.

Customers must use software and services in accordance with applicable laws, software licence conditions and instructions provided by UM Group or the respective software provider.

Customers are responsible for maintaining appropriate backups of their business data unless a specific backup service has been separately agreed with UM Group.
